Acceptance of Terms

These Terms of Service constitute a legally binding agreement between you, whether individually or on behalf of an entity, and Haily Hunt Photography, LLC, a limited liability company organized under the laws of the state of Washington, United States, with its principal place of business located at 140 E Fort Knox Way, Washington 84780-4703. By accessing or using the website located at https://www.hailyhunt.hair, or by engaging any of our computer systems design, integration, consulting, or related professional services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service in their entirety.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms. In such case, the terms you and your shall refer to such entity. If you do not have such authority, or if you do not agree with any provision of these Terms, you must not accept these Terms and may not access or use our website or services.

Definitions and Interpretation

For the purposes of these Terms of Service, the following definitions apply:

  • Company, We, Us, or Our refers to Haily Hunt Photography, LLC, including its officers, employees, agents, contractors, and affiliates.
  • Website means the internet site located at https://www.hailyhunt.hair, including all subdomains, subdirectories, and any content, materials, and services offered through or in connection with it.
  • Services refers collectively to all computer systems design, integrated systems architecture, security engineering, cloud infrastructure design, technology consulting, data systems design, and any other professional services offered by the Company, whether delivered remotely, on-site, or through the Website.
  • User, You, or Your means any individual or entity that accesses the Website or engages the Services, including authorized representatives acting on behalf of an entity.
  • Content includes all text, graphics, images, data, information, code, designs, documentation, deliverables, and other materials, whether provided by the Company or uploaded by Users.
  • Engagement means any specific project, consulting arrangement, or service contract entered into between the Company and a Client, governed by both these Terms and any applicable statement of work.
  • Client means a User who has entered into a formal engagement for Services with the Company.
  • Force Majeure Event means any circumstance beyond a partys reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, government actions, pandemics, labor disputes, utility failures, and internet or telecommunications outages.

In these Terms, unless the context otherwise requires, words in the singular include the plural and vice versa, headings are for convenience only and do not affect interpretation, and any reference to includes or including means without limitation.

Eligibility and Account Registration

By using the Website or Services, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into a binding contract. If you are using the Website or Services on behalf of an entity, you further represent that you are duly authorized to act on behalf of and bind that entity. The Company reserves the right to refuse service, terminate accounts, or deny access to the Website at its sole discretion, including in cases where it believes that User conduct violates applicable law or is harmful to the interests of the Company or any third party.

Where the Company makes available a client portal or account registration functionality, you agree to provide accurate, current, and complete information during the registration process and to update such information promptly to keep it accurate. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials and password
  • All activities that occur under your account, whether authorized by you or not
  • Notifying the Company immediately of any unauthorized access to or use of your account
  • Ensuring that you log out of your account at the end of each session when using shared or public devices

The Company shall not be liable for any loss or damage arising from your failure to comply with these account security obligations.

All Services are provided subject to the terms of a mutually executed statement of work, proposal, or service agreement that specifies the scope, deliverables, timeline, fees, and any project-specific conditions. In the event of any conflict between these Terms and a signed statement of work, the statement of work shall prevail with respect to the specific engagement described therein.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Services, temporarily or permanently, with or without notice, provided that any ongoing engagements shall be completed or transitioned in accordance with the terms of the applicable statement of work.

Acceptable Use Policy

You agree to use the Website and Services only for lawful purposes and in accordance with these Terms. You further agree that you will not, and will not permit any third party to:

  • Use the Website or Services in any manner that violates any applicable federal, state, local, or international law, regulation, or ordinance
  • Engage in any activity that exploits, harms, or attempts to exploit or harm minors in any way
  • Transmit, or procure the sending of, any advertising, promotional material, junk mail, spam, chain letters, pyramid schemes, or any other form of unsolicited communication
  • Impersonate the Company, a Company employee, another User, or any other person or entity, or misrepresent your affiliation with any person or entity
  • Engage in any activity that interferes with or disrupts the Website or the servers and networks connected to it, including introducing viruses, worms, trojan horses, logic bombs, or other malicious or technologically harmful material
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website
  • Use any robot, spider, scraper, or other automated means to access the Website for any purpose without our express prior written permission
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying structure of any software, systems, or materials provided through the Services
  • Remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Website or Services
  • Use the Website or Services to build a competitive product or service, or to copy any features, functions, or designs of the Website or Services

Violation of this Acceptable Use Policy may result in immediate termination of your access to the Website and Services, without prior notice, and may expose you to civil or criminal liability. The Company reserves the right to investigate and prosecute violations to the fullest extent permitted by law.

Intellectual Property Rights

6.1 Company Intellectual Property

The Website and its entire contents, features, and functionality — including but not limited to all text, graphics, logos, button icons, images, audio clips, video clips, data compilations, page headers, software code, design elements, layout, look-and-feel, and the compilation and arrangement thereof — are owned by Haily Hunt Photography LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

The name Haily Hunt, the Haily Hunt Photography LLC mark, the HH logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

6.2 License to Use the Website

Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Website for your personal, non-commercial use, or for legitimate business evaluation purposes. This license does not include any right to download, copy, modify, distribute, or create derivative works of any Website content, except as may be expressly permitted in writing by the Company.

6.3 Client Deliverables

Unless otherwise agreed in a written statement of work, upon full payment for Services rendered, the Company grants the Client a perpetual, non-exclusive, non-transferable license to use the deliverables created specifically for that Client in the course of the engagement, solely for the Clients internal business purposes. The Company retains ownership of all pre-existing materials, tools, methodologies, know-how, and general knowledge used in the creation of deliverables. The Client retains ownership of all Client-provided materials and data.

6.4 User-Submitted Content

If you submit, upload, or transmit any content, materials, or information to the Company through the Website or in connection with the Services, you represent and warrant that you own or have the necessary rights to such content and that its use by the Company as contemplated by these Terms does not violate the rights of any third party. You grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and process such content solely as necessary to provide the Services to you.

Payment Terms and Billing

Fees for Services are specified in the applicable statement of work, proposal, or invoice issued by the Company. Unless otherwise stated, all fees are quoted and payable in United States Dollars and are exclusive of applicable taxes, levies, or duties, which shall be the responsibility of the Client.

  • Invoicing: Unless otherwise agreed, invoices are issued upon the achievement of defined milestones, on a monthly basis for time-and-materials engagements, or according to the schedule specified in the statement of work.
  • Payment Due Date: All invoices are due and payable within 30 calendar days from the date of invoice, unless a different payment schedule is specified in writing.
  • Late Payments: Any amount not paid by the due date may accrue interest at the rate of 1.5 percent per month, or the maximum rate permitted by applicable law, whichever is lower. The Company reserves the right to suspend Services if payment is more than 15 days past due.
  • Expenses: Reasonable out-of-pocket expenses incurred by the Company in connection with the provision of Services, including travel, accommodation, and materials, shall be reimbursed by the Client, provided such expenses are pre-approved in writing.
  • Disputed Charges: If you believe any invoice contains an error, you must notify the Company in writing within 15 calendar days of receiving the invoice. Failure to provide timely notice constitutes acceptance of the invoice as accurate.
  • Taxes: The Client is responsible for all sales, use, value-added, withholding, and similar taxes arising from the provision of Services, except for taxes based on the Companys net income.

Confidentiality Obligations

In the course of providing Services, each party may receive or have access to information that is confidential or proprietary to the other party. Confidential Information means any information, in any form, that is designated as confidential, or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Each party agrees to: (a) use the other partys Confidential Information solely for the purpose of fulfilling its obligations or exercising its rights under these Terms and any applicable statement of work; (b) not disclose the other partys Confidential Information to any third party except to its employees, contractors, and professional advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those set forth herein; and (c) protect the confidentiality of the other partys Confidential Information using the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care.

Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving partys possession without restriction prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of or reference to the disclosing partys Confidential Information.

If a receiving party is required by law, regulation, or court order to disclose any Confidential Information, it shall, to the extent legally permissible, provide prompt notice to the disclosing party so that the disclosing party may seek a protective order or other appropriate remedy.

The obligations of confidentiality set forth in this section shall survive termination of these Terms for a period of three years, or indefinitely with respect to trade secrets.

Third-Party Services and Links

The Website may contain links to third-party websites, services, or resources that are not owned or controlled by the Company. These links are provided for your convenience only and do not imply endorsement by the Company of the linked site, its operator, or its contents. The Company has no control over and assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Disclaimers and Warranties

THE WEBSITE AND SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, WITHOUT ANY REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, Haily Hunt Photography LLC expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

  • Any implied warranty of merchantability, fitness for a particular purpose, title, and non-infringement
  • Any warranty that the Website or Services will be uninterrupted, timely, secure, error-free, or free from viruses or other harmful components
  • Any warranty that the results that may be obtained from the use of the Website or Services will be accurate, reliable, or meet your expectations or requirements
  • Any warranty arising from course of dealing, course of performance, or usage of trade
  • Any warranty regarding the accuracy, completeness, or currency of any content, materials, or information provided through the Website or Services

The Company does not warrant that the Website is compatible with all devices, browsers, or operating systems. You are responsible for ensuring that you have the necessary equipment, software, and internet connectivity to access and use the Website.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Haily Hunt Photography LLC, its directors, officers, employees, agents, contractors, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, data, goodwill, business interruption, or other intangible losses, arising out of or related to your use of or inability to use the Website or Services, regardless of the legal theory upon which any claim for such damages is based, even if the Company has been advised of the possibility of such damages.

In no event shall the Companys aggregate liability for all claims arising out of or related to these Terms, the Website, or the Services exceed the greater of: (a) the total amount paid by you to the Company for Services in the twelve months immediately preceding the event giving rise to the claim; or (b) one thousand United States Dollars (USD $1,000.00). The existence of more than one claim shall not enlarge this limit.

The limitations and exclusions set forth in this section shall apply regardless of whether the claim is based in contract, tort (including negligence), strict liability, statute, or any other legal theory, and shall survive any failure of essential purpose of any limited remedy.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations in this section may not apply to you. In such jurisdictions, the Companys liability shall be limited to the fullest extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Haily Hunt Photography LLC, its parent, subsidiaries, affiliates, and their respective directors, officers, employees, agents, contractors, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees, including reasonable attorneys fees, arising out of or relating to:

  • Your violation of any provision of these Terms of Service
  • Your use of the Website or Services, including any content you submit, upload, or transmit through the Website
  • Your violation of any applicable law, rule, or regulation
  • Your violation of any third-party right, including any intellectual property right, publicity right, confidentiality right, property right, or privacy right
  • Any claim that your content, data, or materials caused damage to a third party
  • Any willful misconduct, fraud, or gross negligence on your part

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate with the Company in asserting any available defenses and shall not settle any claim without the Companys prior written consent.

Termination and Suspension

These Terms shall remain in full force and effect while you use the Website or Services. The Company reserves the right, in its sole discretion and without prior notice, to:

  • Suspend or terminate your access to all or any part of the Website or Services at any time, for any reason or for no reason, including without limitation for any violation of these Terms
  • Suspend or terminate any individual engagement or statement of work in accordance with the termination provisions set forth in the applicable agreement
  • Discontinue the Website or any aspect of the Services, temporarily or permanently, with or without notice

Upon termination of these Terms: (a) your right to access and use the Website and Services shall immediately cease; (b) all licenses granted to you under these Terms shall immediately terminate; (c) you shall promptly pay all outstanding fees and expenses owed to the Company; and (d) each party shall, upon request, return or destroy all Confidential Information of the other party in its possession.

The following provisions shall survive any termination of these Terms: Definitions, Intellectual Property Rights, Confidentiality Obligations, Disclaimers and Warranties, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and Miscellaneous Provisions, together with any other provisions that by their nature should survive.

Governing Law and Dispute Resolution

14.1 Governing Law

These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter, whether contractual or non-contractual, shall be governed by and construed in accordance with the laws of the state of Washington, United States, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

14.2 Informal Resolution

Before initiating any formal legal proceedings, you agree to first attempt to resolve any dispute informally by contacting the Company at serve@hailyhunt.hair and providing a written description of the dispute. The parties shall then engage in good faith negotiations for a period of at least 30 calendar days.

14.3 Binding Arbitration

If the parties are unable to resolve a dispute through informal negotiations, any controversy or claim arising out of or relating to these Terms, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in the English language, in the state of Washington, by a single arbitrator appointed in accordance with such rules.

The arbitrators award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. Each party shall bear its own costs and expenses of arbitration, and the parties shall share equally the fees and expenses of the arbitrator, unless the arbitrator determines that a different allocation is appropriate. You acknowledge that by agreeing to this arbitration provision, you are waiving the right to a trial by jury and the right to participate in a class action.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent irreparable harm, without the need to post a bond. Any such action shall be brought exclusively in the state or federal courts located in the state of Washington.

14.5 Time Limitation

Any claim or cause of action arising out of or related to the Website, Services, or these Terms must be filed within one year after such claim or cause of action arose, or the date on which you knew or should reasonably have known of the facts giving rise to the claim, whichever is earlier. Any claim not filed within this period shall be permanently barred.

Miscellaneous Provisions

15.1 Entire Agreement

These Terms, together with any applicable statement of work, proposal, or service agreement, and our Privacy Policy, constitute the entire agreement between you and Haily Hunt Photography LLC with respect to the subject matter hereof and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

15.2 Waiver and Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

15.3 Assignment

You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign or transfer its rights and obligations under these Terms, in whole or in part, without your consent, including to a successor in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets relating to the Services.

15.4 Force Majeure

Neither party shall be liable for any failure or delay in performance under these Terms, other than payment obligations, due to a Force Majeure Event. The affected party shall notify the other party promptly and use reasonable efforts to resume performance as soon as practicable. If a Force Majeure Event continues for more than 30 days, either party may terminate the affected engagement upon written notice without liability.

15.5 Relationship of the Parties

Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and the Company. The Company is an independent contractor in the performance of Services, and neither party has the authority to bind the other or incur obligations on the others behalf without prior written consent.

15.6 Notices

All notices to the Company required or permitted under these Terms shall be made in writing and delivered by email to serve@hailyhunt.hair or by registered mail to 140 E Fort Knox Way, Washington 84780-4703, United States. Notices to you may be provided via the email address associated with your account, by posting on the Website, or by other reasonable means.

15.7 Headings and Construction

The section headings in these Terms are for convenience only and have no legal or contractual effect. The language used in these Terms shall be interpreted in accordance with its fair meaning and not strictly for or against any party.

Changes to These Terms

Haily Hunt Photography LLC reserves the right, at its sole discretion, to modify or replace these Terms of Service at any time. When we make material changes, we will update the Last Revised date at the top of this page and, in our discretion, provide additional notice through the Website or by other means. Your continued use of the Website or Services after the effective date of any revised Terms constitutes your acceptance of and agreement to be bound by the modified Terms.

We encourage you to review these Terms periodically to stay informed of any updates. If you do not agree to the revised Terms, you must discontinue use of the Website and Services and notify the Company if you have any ongoing engagements that would be affected by the changes.
